1. Your agreement with Pagely
These Terms govern access to the Pagely website creation and hosting service, including previews, AI generation, editing, hosted sites, contact forms, paid plans and credits. Pagely is operated by The Bomb Enterprises Inc., 2-4114 Crozier Road, Spallumcheen, British Columbia V4Y 0X1, Canada (https://thebomb.ca). In these Terms, Pagely, we and us mean The Bomb Enterprises Inc., and you means the person using it and any organization that person is authorized to bind.
By expressly accepting these Terms, you agree to these Terms and the Acceptable Use Policy at /acceptable-use, which forms part of this agreement. You must have reached the age of majority where you live, have legal capacity to contract and have authority to act for any business you represent. Viewing a customer's website alone does not make you a subscriber or a party to its owner's contract with us.
The Privacy Policy at /privacy explains personal information handling. Acknowledging that notice is separate from accepting this contract. Neither this agreement nor a privacy acknowledgement is blanket consent to optional marketing, unrelated processing or a waiver of privacy rights.
2. Accounts and authority
Provide accurate account and business information, keep sign-in methods secure, and promptly report suspected unauthorized access to hello@pagely.ca. You are responsible for activities you authorize through your account. Do not share access in a way that defeats security controls, buy or sell accounts, or claim a business, listing or domain without authorization.
We may request reasonable evidence of identity, business authority, domain control or payment authorization before enabling or restoring access. Do not send identity documents or sensitive information unless we specifically request them through an appropriate channel. Free-plan, sample and usage limits apply to the person or business described in the offer; creating extra identities to evade them is prohibited.
3. Service and AI-generated material
Pagely uses information you provide, public business information and AI services to create and edit websites. Features, quotas and eligible uses are described in the product and the offer shown before purchase. A free plan does not guarantee perpetual hosting, an unchanged quota or availability of a particular feature.
AI output may be inaccurate, incomplete, outdated, biased, similar to other output or subject to third-party rights. Before publishing, review all claims, reviews, images, prices, licences, accessibility, legal notices and contact details. Do not present generated testimonials or invented credentials as real. You are responsible for your business's offers, regulated claims and compliance, including privacy and marketing obligations to your visitors.
We do not promise search rankings, traffic, sales, legal compliance, exclusive designs or uninterrupted operation. Third-party listings, integrations, search engines, networks and domain providers may change or stop working. A preview is not a backup or a promise that a site will be published.
4. Your content and our licence
You retain the rights you already hold in the content you submit. To the extent Pagely owns transferable rights in output generated specifically for you, we assign those rights to you, subject to third-party rights and the rights we retain in the platform. We do not promise that AI output qualifies for copyright protection or that third-party material can be used without permission.
You grant us a worldwide, non-exclusive licence to store, reproduce, process, adapt, render, transmit and display your content, and to permit our service providers to do the same, only as reasonably needed to provide, maintain, secure and support the service, implement your instructions, investigate misuse and meet legal obligations. Publishing authorizes public delivery of that content. This licence lasts while those purposes require it, including lawful retention and ordinary backup or cache cycles after removal. It is not an unrestricted right to sell your content or use it in advertising.
You confirm that you have the rights, permissions and lawful basis needed for your uploads, instructions, customer data, logos, photos and other material. Public availability does not itself establish permission to copy or republish. Observe attribution and licence conditions. Pagely retains rights in its software, blocks, templates, marks, tools and other platform material; your subscription does not transfer that underlying intellectual property.
5. Visitors, forms and connected services
You determine why you collect visitor information through your site. Give visitors an accurate privacy notice, collect only information you need, obtain required consent, secure exported messages and honour applicable access and deletion requests. Do not use general contact forms to collect payment-card details, passwords, government identifiers, medical records or other highly sensitive information.
You authorize Pagely and its service providers to receive, store and deliver submissions for you. Email delivery can fail or be delayed; monitor your dashboard and keep appropriate independent records. A visitor's form submission is not permission for unrelated marketing.
Connect only accounts and domains you control or are authorized to use. Separate provider terms apply to services such as Google and Stripe. Disconnecting an integration stops future authorized access but does not automatically erase content already incorporated into your site or copies held by that provider. Pagely is not the seller of your goods or services and does not resolve disputes between your business and its customers.
6. Charges, renewals and credits
Before payment, the checkout offer identifies the product, price, currency, billing interval and applicable taxes or other charges. Paid subscriptions renew automatically at the disclosed interval until cancelled. You authorize Stripe to charge the payment method you provide for those amounts. Payment processing and applicable payment-provider terms also apply.
Manage or cancel a subscription through Billing in your dashboard and the linked Stripe billing portal. Check the cancellation confirmation for its effective date. Unless the offer or mandatory law provides otherwise, cancellation stops the next renewal and paid access continues to the end of the paid period. Removing a site or disconnecting a domain does not itself cancel your subscription. If the portal is unavailable, contact hello@pagely.ca promptly for assistance.
Credits are service usage entitlements, not cash, deposits or an investment. The purchase offer determines the quantity and permitted use. They are not transferable or redeemable for cash except as required by law. Any expiry or forfeiture condition must be disclosed before purchase and must be lawful. Failed or disputed charges may result in limits or suspension after reasonable attempts to resolve them, where appropriate.
Except where the purchase offer, these Terms or applicable law provides a refund, charges for a completed billing period and consumed credits are not refundable simply because you stop using the service. This does not exclude mandatory cancellation rights, refunds for legally deficient services or disclosures, statutory remedies, or a valid payment dispute. If we permanently discontinue your paid service for our convenience without an equivalent service, we will refund the unused prepaid portion and unused purchased credits attributable to the discontinued service, unless a different lawful remedy is agreed.
We will give reasonable advance notice of material recurring price changes and a chance to cancel before the change applies. A changed price applies prospectively, not to a period already paid for. We will supply additional disclosures, notices and consent mechanisms where required by applicable consumer law.
7. Review, restriction and removal
We may investigate suspected violations and, to the extent permitted by law, reject generation or publication; require changes or verification; restrict features; remove, disable or delete content or sites; revoke shared links or domains; suspend or close accounts; and cancel subscriptions. Grounds include an actual or reasonably suspected breach of these Terms or the Acceptable Use Policy, unlawful conduct, fraud, nonpayment, security threats, harm to others, infringement, a legal or regulatory demand, or a material risk to our platform, providers or operations.
We may act immediately without advance notice where required by law or reasonably necessary to limit harm, prevent evasion, protect an investigation or address an urgent security or abuse risk. Otherwise, where practicable and lawful, we will give notice explaining the action and a reasonable opportunity to correct a remediable issue. We may decline to disclose details that would expose private information, facilitate evasion or compromise security or legal duties.
We may also end a free service or terminate a service relationship for a legitimate business reason on reasonable notice, subject to applicable law and the refund obligations above. These rights must be exercised in good faith and do not authorize unlawful discrimination or retaliation. No promise to monitor all content or detect every violation is made.
You can report a site at /report or request review of a restriction at hello@pagely.ca. Include the relevant site or account, the decision and information that may correct an error. A person can review disputed enforcement decisions. Reports are evaluated as allegations; a report alone is not proof of wrongdoing.
8. Account closure and data deletion
You may stop using Pagely, cancel paid renewal in Billing, or request account deletion from Settings. Account deletion uses an email confirmation and removes your account and sites when completed. Cancel paid renewal and save records you need before deleting your account; contact support if any charge remains after closure.
We may delete or disable account data, sites, assets and messages when you request deletion, after a retention period ends, or as part of a lawful termination or enforcement action. Removal may be irreversible and may release a Pagely subdomain for reuse. Maintain your own copies of important content and visitor records. We do not guarantee restoration, export of every internal record or permanent retention of deleted material.
Deletion and termination remain subject to applicable access rights, required record retention, preservation orders, legal holds, dispute handling, refunds and other mandatory duties. We may retain limited information where legally required or reasonably necessary for a permitted purpose, and must not retain it indefinitely merely because these Terms allow retention. See the Privacy Policy for current practices. We cannot erase copies already downloaded, indexed, emailed or otherwise held by others.
Accrued payment obligations, lawful remedies, intellectual-property provisions, necessary retention permissions, liability provisions and dispute terms survive termination to the extent their purpose requires, subject always to applicable law.
9. Service warranties
To the maximum extent permitted by law, the service is provided as available, and Pagely disclaims implied warranties or conditions of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that generated material is accurate or that the service will always be secure, uninterrupted or error-free. Nothing in these Terms excludes a statutory guarantee, condition or duty that cannot lawfully be excluded, or excuses us from our own applicable privacy and security obligations.
10. Liability and business claims
To the maximum extent permitted by law, neither party is liable to the other for indirect, consequential, exemplary or punitive damages, or lost profits, revenue, goodwill or business opportunities arising from this agreement. Pagely's total liability for claims connected with the service is limited to the greater of CAD $100 and the fees you paid Pagely in the 12 months before the event giving rise to the claim.
These exclusions and the cap do not apply to fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any liability, refund, statutory compensation or other remedy that applicable law does not allow us to exclude or limit. They do not limit your ability to complain to a regulator or exercise mandatory privacy or consumer rights.
If you use Pagely in the course of a business, you will indemnify Pagely against reasonable third-party claims, damages and costs arising from your unlawful content, infringement of another person's rights or material breach of the Acceptable Use Policy, to the extent caused by you. This does not cover Pagely's own wrongdoing. We will give prompt notice, allow reasonable participation in the defence and not agree to a settlement imposing an admission or non-monetary obligation on you without your consent. This business indemnity does not apply to consumers where prohibited by law.
11. Applicable law and disputes
The laws of British Columbia and the federal laws of Canada applicable there govern this agreement, subject to mandatory rights and laws that apply where you live. Subject to those rights, the courts of British Columbia have jurisdiction. This does not require a consumer to bring a claim in a forum that mandatory law does not permit, and does not remove access to an eligible tribunal, small-claims process or regulator.
Contact hello@pagely.ca to try to resolve a dispute informally. Doing so is not a condition to seeking urgent relief, making a regulatory complaint or preserving a statutory deadline. These Terms do not impose mandatory arbitration or a class-action waiver.
12. Changes, notices and general terms
We will publish a new dated version when these Terms or the Acceptable Use Policy change. For material changes, we will give reasonable advance notice by email or a prominent service notice and request renewed agreement where required. Urgent changes required for law or security may take effect sooner to the extent lawful. Changes do not retroactively remove accrued rights. If you do not agree, stop the affected use and cancel renewal before the change applies; mandatory remedies remain available.
The accepted version, applicable purchase offer and policies expressly incorporated into it form the agreement for the service. A specific purchase term controls over a conflicting general term for that purchase, subject to mandatory law. If a provision is unenforceable, the rest continues to the extent legally possible. A failure to enforce a term once is not a waiver. We may assign the agreement as part of a legitimate transfer of the business with notice where required, without reducing your mandatory rights.
